Please read these terms carefully before using the DCME platform

By accessing or using DCME services, you agree to be bound by these Terms of Service.

1. Definitions

In these Terms:

  • "DCME" or "we" or "us" means DCME - Dry Cleaning Made Easy, ABN [Insert ABN], located at 5/7 Carrington Road, Castle Hill NSW 2154, Australia
  • "Platform" means the DCME software, website, applications, and Industry Core Intelligence System
  • "Services" means all products, services, and features provided by DCME
  • "User" or "you" means any person or entity accessing or using our Services
  • "Account" means your registered user account with DCME
  • "Content" means all data, information, text, images, and materials submitted to or stored on the Platform
  • "Subscription" means the recurring payment arrangement for access to our Services

2. Acceptance of Terms

By creating an Account, accessing, or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these Terms, you must not use our Services.

If you are using our Services on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms.

3. Account Registration and Security

3.1 Account Creation

To use our Services, you must create an Account by providing accurate, current, and complete information. You must be at least 18 years of age to create an Account.

3.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your Account credentials
  • All activities that occur under your Account
  • Immediately notifying us of any unauthorized use of your Account
  • Ensuring your Account information remains accurate and up-to-date

We are not liable for any loss or damage arising from your failure to maintain Account security.

4. Subscription and Payment Terms

4.1 Subscription Plans

We offer various subscription plans with different features and pricing. Details are available on our Pricing page or as agreed in your specific service agreement.

4.2 Payment

You agree to pay all fees associated with your Subscription. Fees are charged in advance on a monthly or annual basis, depending on your selected plan. All payments are processed in Australian Dollars (AUD) unless otherwise specified.

4.3 Billing and Renewal

Subscriptions automatically renew at the end of each billing period unless cancelled. You may cancel your Subscription at any time through your Account settings or by contacting us. Cancellation takes effect at the end of the current billing period.

4.4 Refunds

We do not provide refunds for partial months or unused portions of your Subscription, except where required by Australian Consumer Law.

4.5 Price Changes

We reserve the right to modify our pricing. Any price changes will take effect at the start of your next billing period, and we will provide at least 30 days notice of significant price increases.

5. Use of Services

5.1 Permitted Use

You may use our Services only for lawful purposes and in accordance with these Terms. You agree to use our Services only for their intended purpose of managing dry cleaning, laundry, alterations, or related business operations.

5.2 Prohibited Activities

You must not:

  • Use our Services for any illegal purpose or in violation of any laws
  • Attempt to gain unauthorized access to any part of our Platform or systems
  • Interfere with or disrupt the integrity or performance of our Services
  • Reverse engineer, decompile, or disassemble any aspect of our Services
  • Upload or transmit viruses, malware, or other harmful code
  • Scrape, data mine, or harvest information from our Platform
  • Use our Services to send unsolicited communications (spam)
  • Impersonate any person or entity or misrepresent your affiliation
  • Share your Account credentials with unauthorized users

6. Content and Data

6.1 Your Content

You retain all ownership rights to the Content you upload to our Platform. By uploading Content, you grant us a limited license to use, store, and process that Content solely for the purpose of providing our Services to you.

6.2 Data Processing

If you upload customer data to our Platform, you represent and warrant that:

  • You have obtained all necessary consents and permissions to process that data
  • Your collection and use of such data complies with the Privacy Act 1988 and other applicable laws
  • You have a lawful basis for processing the personal information of your customers

6.3 Data Backup

While we implement backup procedures, you are responsible for maintaining your own backups of critical data. We recommend regularly exporting your data through the available export functions.

7. Intellectual Property

7.1 Our Intellectual Property

The DCME Platform, including all software, code, designs, graphics, logos, trademarks, and other materials, is owned by us or our licensors and is protected by intellectual property laws. These Terms do not grant you any ownership rights to our intellectual property.

7.2 License to Use

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for your internal business purposes during your Subscription period.

7.3 Feedback

Any feedback, suggestions, or ideas you provide to us may be used by us without restriction or compensation to you.

8. Third-Party Services and Integrations

Our Services may integrate with or contain links to third-party services. We are not responsible for the content, privacy practices, or terms of service of any third-party services. Your use of third-party services is at your own risk and subject to their respective terms.

9. Service Availability and Support

9.1 Service Level

We aim to maintain high availability of our Services, but we do not guarantee uninterrupted access. We may perform maintenance that could result in temporary service interruptions. Check our System Status page for current operational status.

9.2 Support

We provide technical support as described on our Support page. Support availability and response times may vary based on your Subscription plan.

10. Termination

10.1 Termination by You

You may terminate your Account and Subscription at any time by following the cancellation process in your Account settings or contacting us.

10.2 Termination by Us

We may suspend or terminate your Account and access to Services immediately, without prior notice or liability, if:

  • You breach these Terms
  • You fail to pay fees when due
  • Your use of Services creates legal liability for us or disrupts other users
  • We are required to do so by law

10.3 Effect of Termination

Upon termination:

  • Your right to use the Services immediately ceases
  • We may delete your Account and all associated Content after a retention period
  • Any outstanding fees become immediately due
  • Sections that by their nature should survive termination will continue to apply

11. Disclaimer of Warranties

Important: Our Services are provided "as is" and "as available" without warranties of any kind, either express or implied, to the maximum extent permitted by law. We do not warrant that our Services will be uninterrupted, error-free, or completely secure.

Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy under the Australian Consumer Law or other applicable laws that cannot be excluded, restricted, or modified.

12. Limitation of Liability

To the maximum extent permitted by law:

  • We are not liable for any indirect, incidental, special, consequential, or punitive damages
  • Our total liability for any claims arising under these Terms is limited to the amount you paid us in the 12 months preceding the claim
  • We are not liable for any loss of profits, revenue, data, or business interruption

This limitation does not apply to liability that cannot be excluded under the Australian Consumer Law.

13. Indemnification

You agree to indemnify and hold harmless DCME, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with:

  • Your access to or use of our Services
  • Your violation of these Terms
  • Your violation of any third-party rights, including intellectual property or privacy rights
  • Any Content you upload or transmit through our Services

14. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of New South Wales, Australia. You agree to submit to the exclusive jurisdiction of the courts of New South Wales for any disputes arising under these Terms.

15. Dispute Resolution

Before commencing any legal action, you agree to attempt to resolve any dispute through good faith negotiation. If negotiation fails, either party may escalate to mediation or litigation as appropriate.

16. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website with a revised "Last Updated" date. Your continued use of our Services after such changes constitutes acceptance of the new Terms.

17. General Provisions

17.1 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

17.2 Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

17.3 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

17.4 Entire Agreement

These Terms, together with our Privacy Policy and any other agreements referenced herein, constitute the entire agreement between you and DCME regarding our Services.
